Terms of Service

This is the official Terms of Service for Axot. 日本語版

Article 1 — Applicability

These Terms of Service ("Terms") govern your use of Axot (the "Service") operated by Ewalk, Inc. ("we", "our", "us"). By using the Service, you agree to be bound by these Terms.

Article 2 — Definitions

Axot TokenA single internal unit by which the Service measures AI API consumption across all features
BYO-KeyA user-supplied API key for an external AI service (Expert plan)

Article 3 — Account

  1. The Service uses Magic Link authentication (passwordless login via email).
  2. You are responsible for keeping your account information accurate and preventing unauthorized use.
  3. One user may not hold multiple accounts.

Article 4 — Plans and usage limits

Usage is measured in a single unit called the "Axot Token". Conversation capture, Forge generation, MCP queries, Axiom generation, and any other AI API–backed operations consume tokens from your plan quota.

4-1. Free plan

  • 300,000 tokens per rolling 7 days (50,000 per rolling 5 hours)
  • All features available, including conversation capture, Forge, and MCP endpoints
  • Once the cap is reached, AI-backed operations are paused; you can still browse and export existing data

4-2. Pro plan ($20/month)

  • 5,000,000 tokens per rolling 7 days (500,000 per rolling 5 hours)
  • Priority processing
  • Add-on tokens: $1 per 100,000 tokens, purchasable at any time

4-3. Expert plan ($15/month, BYO-Key)

  • Bring your own API key for an external AI service (Anthropic / Google / OpenAI / etc.), bypassing Axot Token limits
  • External AI API costs are billed directly to you by that provider
  • If no key is provided or a call fails, the Service falls back to Pro-equivalent token quotas

4-4. Billing and cancellation

  • Billing is monthly via Stripe.
  • You may cancel at any time from Settings → Plan.
  • Paid features remain available through the end of the current billing month. No prorated refunds.

Article 5 — Intellectual property

  1. Conversation data: copyright in your captured conversation data remains with you.
  2. Forge and Axiom: Forge entries are your authored work and remain yours. Axiom, as derived data, also belongs to you as the original-data owner.
  3. License grant: you grant us a non-exclusive license to process and transform your data to the extent necessary to provide the Service.
  4. Service IP: the Service's systems, design, and brand remain our intellectual property.

Article 6 — MCP endpoint usage

  1. MCP endpoints are limited to your own use or to AI agents you have explicitly authorized.
  2. You must not share your MCP endpoint URL or API keys with third parties.
  3. MCP queries consume Axot Tokens (Article 4). We do not impose a separate per-query cap.
  4. We do not monitor MCP query content, but may temporarily suspend endpoints if usage causes excessive server load.

Article 7 — Prohibited conduct

The following are prohibited:

  • Capturing or distributing illegal content or third-party copyrighted material without permission
  • Spammy automated capture of conversations
  • Reselling MCP endpoint access to third parties for commercial purposes
  • Unauthorized access to or reverse engineering of our systems
  • Impersonating other users

Article 8 — Disclaimer

  1. The Service is provided as-is. We do not guarantee the accuracy of Forge assistance or Axiom output.
  2. Except in cases of willful misconduct or gross negligence, we are not liable for damages arising from use of the Service.
  3. We are not liable for impact caused by third-party service outages (e.g., Gemini API).

Article 9 — Service changes and termination

  1. We may change the Service without notice. Material changes will be announced by email in advance.
  2. If we terminate the Service, we will give at least 90 days' notice and provide an opportunity for data export.

Article 10 — Governing law and jurisdiction

  • These Terms are governed by the laws of Japan.
  • The Tokyo District Court shall have exclusive jurisdiction as the court of first instance for any disputes.
